Monthly Contracts Set Your Price

Buyers of IT companies pay most for revenue they can count on. Monthly fees under a signed managed services agreement are the heart of the value.

Project work like network buildouts, office moves and hardware refreshes still counts. It just counts for less, because nobody knows if next year will bring the same projects.

Two companies with the same total revenue can sell for very different prices. The one with more contracted monthly revenue nearly always wins.

The reason is simple. A buyer is paying today for income they expect to collect for years, and a signed agreement makes that income easier to believe and easier to finance.

Know Your Numbers Before a Buyer Asks

Expect a buyer to ask for a clean breakdown of your revenue. Have these ready:

  • Monthly recurring revenue by client, with contract start and end dates
  • Project and hardware revenue shown separately
  • Client churn over the last three years
  • Gross margin on managed services versus resale

Your earnings will also be recast to remove owner perks and one time costs. Depending on size, you may be priced on SDE or EBITDA. Our guide on SDE vs EBITDA explains the difference.

Contract Terms and Churn Tell the Real Story

A contract that auto renews for multiple years is worth more than one a client can cancel with short notice. Buyers will read your agreements to see how locked in each client really is.

Churn matters just as much. Low turnover over several years proves clients value your service and are not likely to leave when ownership changes.

If many clients are on month to month terms, consider moving them to longer agreements before you sell. Do it steadily, not in a rush right before listing, which buyers can spot.

Watch Out for One Big Client

Many MSPs grow around one or two anchor clients. That feels safe while you run the company. To a buyer, it is risk. If that client leaves, a big piece of the business goes with it.

When a few clients make up a large share of revenue, buyers may lower the price or tie part of it to keeping those accounts. Our guide to customer concentration covers how to soften that.

Technicians Matter as Much as Contracts

Buyers want to know who does the work. If every escalation lands on you, the business depends on its owner, and buyers discount that heavily.

A strong bench of technicians, a service manager and documented procedures show the company runs without you. Written runbooks, a ticketing system and clear client documentation all help.

Keep the sale quiet until the right moment. Good technicians are in demand, and rumors can send them looking elsewhere.

Cybersecurity Services Raise Buyer Interest

Many buyers want to grow their security offerings. If you already sell managed security, backup and compliance support on a monthly basis, that can make your company stand out.

Be ready to show how these services are packaged, what tools you use and whether those vendor agreements can transfer. Also expect questions about your own security practices, since a buyer inherits any weaknesses.

Charlotte Clients and the Buyers Who Want Them

Charlotte has a large base of banks, healthcare systems and professional firms, along with the small and midsize companies that serve them. Many of those companies need outside IT help and are used to paying for it monthly.

Your buyer might be a larger MSP adding clients in the region, an investor backed group building a platform through add on acquisitions, or an operator moving into the market.

Investor buyers often ask the owner to stay through a transition. Our page on selling to private equity explains what that usually looks like.
